Terms and Conditions of Use

Acceptance of the Terms of Use     

These User Terms and Conditions (these “Terms of Use”) are entered into by and between you and Glazd, Inc. (the “Glazd”, “we” or “us’). These Terms of Use, together with any documents they expressly incorporate by reference, govern your access to and use of the www.glazd.com website (the “Website”) and the mobile application Glazd (the “App”), including any software, content, features, functionality, materials, information and Services (defined below) offered on or made available through the Website or the App (individually, the “Content”, and collectively with the Website and the App, the “Platform”). These Terms of Use apply to all visitors, guests, registered users and others who access and/or use the Platform (together, the “Users”).          

Please read these Terms of Use carefully before you start to use the Platform.  By registering, accessing or using the Platform, or by clicking “I accept” or “I agree” to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use.  If you do not agree to all of these Terms of Use, you must click “I do not accept” or “I do not agree.” If you do not accept or agree to all of these Terms of Use, you must not access or otherwise use the Platform.

Changes to the Terms of Use

          Glazd may revise and update these Terms of Use from time to time in its sole discretion.  All changes are effective immediately when we post them and apply to all access to and use of the Platform thereafter. Your continued use of the Platform following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page frequently, so you are aware of any changes, as they are binding on you.

Billing and Refund Policy:

Our goal is to provide the best rates for our customers and resident communities. When purchasing a renters insurance policy, you understand that all insurance policies sold through our platform are subject to a 3-month coverage minimum. You also acknowledge that if any coverage is used, this downpayment becomes non-refundable. 

Your payment is REFUNDABLE if you cancel your insurance policy before the policy start date. Your cancellation submission must occur 24 hours before coverage begins.

Communications:

Glazd is always improving how we communicate with our customers. In this ever busy world, email is generally the most supported form of communication with our customers. We also provide phone calls and text messaging to our customers. By providing your phone number to Glazd, you agree to allow text and/or phone call communications. Our goal is to ensure that all residents have proper insurance coverage, and to streamline that process you may receive text message reminders. To stop receiving text messages, you can reply STOP to the number sending the message. 

Summary of Platform

Tenants

  • Glazd is an insurance agency that sells renters insurance (HO4) policies.
  • Renters can request and obtain a renters insurance Quote.
  • Renters can purchase a renters insurance policy.
  • The function of the Site is to Quote, Bind, and offer insurance policies on behalf of insurance Carriers to tenants.
  • Binding occurs 24 hours after submission of application.

Landlords/Property Managers

  • These features include but are not limited to:
    • Monitor insurance compliance within your apartment units.
    • Receive updates and notifications as to the status and details of tenant insurance compliance.  
    • Distribute notifications to Tenants.

(collectively, the “Services”). 

Account Security and Accessing the Platform

To access the Platform or some of the resources it offers, you may be required to provide certain registration details or submit other information (collectively, “Registration Information”).  It is a condition of your use of the Platform that all of the Registration Information and any other information you provide on the Platform is correct, current and complete.

The Platform is offered and available to Users who are 18 years of age or older, reside in the United States, and reside in Wisconsin or any other state in which Glazd is licensed to provide insurance. By using the Platform, you represent and warrant that, if you are an individual, you are at least 18 years old and meet all of the eligibility requirements set forth above.

            If you choose, or are provided with, a user name, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity.  You acknowledge and agree that your account is personal to you and you agree not to provide any other person or entity with access to the Platform or portions of it using your user name, password or other security information (including, without limitation, your roommates). You agree to notify us immediately of any unauthorized access to or use of your user name or password, or any other breach of security. You are responsible for fully exiting from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information. 

            We have the right to disable any user name or password, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason. We further reserve the right to restrict your access to all or part of the Platform at any time in our sole discretion for any or no reason.

            We reserve the right to withdraw or amend the Platform at any time in our sole discretion without notice to you. We are not obligated to provide/bind insurance for you as our third-party insurance carriers are not required to bind a policy for you.  We shall not be liable to you or any third party if for any reason all or part of the Platform is unavailable at any time or for any period. You are responsible for (a) making all arrangements necessary for you to have access to the Platform and (b) ensuring that all Users who access or use the Platform through your internet connection are aware of these Terms of Use and comply with them.

Important Disclaimers Related to the Platform

  • All real-time financial information and data provided on this Platform is made available to provide you immediate access for your convenience only.  The information and data displayed on this Platform is updated once every twenty-four hours, so the information and data you see in real time may be delayed, stale, inaccurate and untimely.
  • We expressly disclaim the accuracy, adequacy, completeness timeliness or usefulness of the Platform or its Content.  Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Platform, or by anyone who may be informed of any of its Content.
  • Insurance Quotes and Coverages
    • All quotes generated on the Platform are based on the information you provided and are not a contract, binder, or agreement to extend insurance coverage. To obtain coverage you must submit an application to Glazd, whether on the app or website, or otherwise. All applications are subject to underwriting approval or our insurance carriers. Coverages, availability, and pricing may vary by state or province; and additional minimum coverage limits may be available in your state. (Needs approval).
    • Third-party service providers engaged by Glazd include but are not limited to:
      • Insurance carriers;
      • Claims processor;s
      • Attorneys;
      • Tax Consultants;
      • Accountants;
      • Customer Service Call Center; and
      • Payment processing agent.

Glazd Proprietary Rights

These Terms of Use permit you to use the Platform for your personal, non-commercial use only.

The Website, App and its Content, as well as all copyright, trademark, trade secret and other rights therein, are exclusively owned by and are the sole property of Glazd, our affiliates, licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. You acknowledge and agree that you do not acquire any ownership rights therein by using the Platform.  Except as otherwise set forth in the End User License Agreement, if any, nothing contained in these Terms of Use shall be construed as conferring any right, title or interest in or license to the Website, App or any Content thereon. All rights not expressly granted are reserved by Glazd.

You agree that:

  • you will not copy, store, create derivative works of, publically display, publish, reproduce, upload or download, post, transmit, distribute, sell or otherwise send to another via e-mail or any other medium any Content made available through any part of the Platform;
  • you will not extract, summarize or reproduce any portion of the Platform without our the prior written consent;
  • unauthorized use, reproduction or rebroadcast of any Content is prohibited and shall be considered an infringement and/or misappropriation of our proprietary rights; 
  • modification of the Content or use of the Content made available through any part of the Platform if prohibited, and can subject you to legal liability; and
  • if you print, copy, modify, download or otherwise use or provide any other person or entity access to any part of the Platform in breach of these Terms of Use, your rights to use the Platform will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

You must not access or use for any commercial purposes any part of the Platform or any Services or Content available through the Platform. Any use of the Platform not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark and other laws.

Trademarks

            Glazd logo, name and all related names, logos, product and service names, designs and slogans are trademarks of Glazd or our affiliates or licensors.  You must not use such marks without the prior written permission of Glazd.  

Prohibited Uses

            You may use the Platform only for lawful purposes and in accordance with these Terms of Use.  You agree not to use the Platform:

  • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
  • To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the User Contribution Standards set out in these Terms of Use.
  • To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
  • To impersonate or attempt to impersonate Glazd, a Glazd employee, another User, or any other person or entity.
  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Platform, or which, as determined by us, may harm Glazd or Users, or expose them to liability.

Additionally, you agree not to:

  • Use the Platform in any manner that could disable, overburden, damage, or impair the Platform or interfere with any other party’s use of the Platform, including their ability to engage in real time activities through the Platform.
  • Use any robot, spider or other automatic device, process or means to access the Platform for any purpose, including monitoring or copying any of the Platform.
  • Use any manual process to monitor or copy any of the material on the Platform or for any other unauthorized purpose without our prior written consent.
  • Use any device, software or routine that interferes with the proper working of the Platform, engage in any activity which may compromise the stability or availability of the Platform or use the Platform to compromise the availability or stability of any third party site or service.
  • Upload, introduce, post, email, otherwise transmit, or post links to any User Contributions that contains software viruses, worms, trojan horses, time bombs, logic bombs, trap doors or any other computer code, files or programs or repetitive requests for information designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or to diminish the quality of, interfere with the performance of, or impair the functionality of the Platform or any third party software, site, equipment or service.
  • Attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the Platform, the server on which the Platform is stored, or any server, computer or database connected to the Platform.
  • Harvest, collect or store personally identifying information about other Users of the Platform or to otherwise invade anyone’s privacy or disclose another person’s personally identifiable information.
  • Reverse engineer, hack, spam, block, disrupt, or otherwise change or alter, or attempt to change or alter, the Platform.
  • Otherwise attempt to interfere with the proper working of the Platform.

User Contributions

The Platform may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, “Interactive Services”) that allow Users to post, submit, publish, display, or transmit to other Users or other persons (hereinafter, “post”) information or materials (collectively, “User Contributions”) on or through the Platform. All User Contributions must comply with the User Contribution Standards set out in these Terms of Use.

Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Platform, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

You represent and warrant that (a) you own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns and (b) all of your User Contributions do and will comply with these Terms of Use.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not Glazd, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Platform.

We cannot review material before it is posted on the Platform, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

User Contribution Standards

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:

  • Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
  • Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
  • Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
  • Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Privacy Policy.
  • Be likely to deceive any person.
  • Promote any illegal activity, or advocate, promote, or assist any unlawful act.
  • Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.
  • Impersonate any person, or misrepresent your identity or affiliation with any person or organization.
  • Involve commercial activities.
  • Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

Termination, Monitoring and Enforcement

We reserve the right to terminate or suspend your access to all or part of the Platform at any time in our sole discretion for any reason or no reason.  You agree that if your account is terminated by Glazd for any reason or no reason, you will not attempt to establish a new account under any name, real or assumed.

We have the right to:

  • Monitor, delete, edit, remove or refuse to post any User Contributions, in whole or in part, for any or no reason in our sole discretion without notice to you.
  • Take any action with respect to any User Contributions that we deem necessary or appropriate in our sole discretion.
  • Disclose your identity or other information about you to any third party who claims that material posted by you, or through your user name, violates a third party’s rights, including its intellectual property rights or its right to privacy.
  • Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Platform.

Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Platform. YOU WAIVE AND HOLD GLAZD AND ITS AFFILIATES, LICENSEES AND SERVICE PROVIDERS HARMLESS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

Online Purchases and Other Terms and Conditions May Apply

All purchases through our Platform or other transactions for the sale of goods or services formed through the Platform, or resulting from visits made by you, are governed by our Terms of Sale, if any in effect, which are hereby incorporated into these Terms of Use.

Additional terms and conditions (the “Additional Terms”) may also apply to specific portions, services, or features of the Platform. All such Additional Terms additional terms and conditions are hereby incorporated by this reference into these Terms of Use.

Links on the Platform

If the Platform contains links to other websites and resources provided by third parties, these links are provided for your convenience only.  If you decide to access any of the third party websites linked on the Platform, you do so entirely at your own risk and subject to the terms and conditions of use for each such website.

Changes to the Platform

We may update the Content on the Platform from time to time. Any of the Content on the Platform may be out of date at any given time and we are under no obligation to update such material.

Privacy Policy

All the information we collect on the Platform is subject to our Privacy Policy, found at www.glazd.com/privacypolicy.  By using the Platform, you consent to all actions taken by us with respect to your information in compliance with our Privacy Policy.

Disclaimer of Warranties

You understand that we cannot and do not guarantee or warrant that files available for downloading from the Platform will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data.

THE FULLEST EXTENT PROVIDED BY LAW, GLAZD HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, SMARTPHONE, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE PLATFORM OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT.

YOUR USE OF THE PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM IS AT YOUR OWN RISK. THE PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER GLAZD NOR ANY PERSON ASSOCIATED WITH GLAZD MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE PLATFORM. WITHOUT LIMITING THE FOREGOING, NEITHER GLAZD NOR ANYONE ASSOCIATED WITH GLAZD REPRESENTS OR WARRANTS THAT THE PLATFORM, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR PLATFORM OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE PLATFORM OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL GLAZD, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR MANAGERS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, OF THE PLATFORM, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE PLATFORM OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. 

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to indemnify, defend and hold Glazd, its affiliates, licensors and service providers, and its and their respective officers, directors, managers, members, employees, contractors, agents, licensors, successors and assignees harmless from and against any and all liabilities, claims, damages, losses, judgments, awards, costs (including reasonable attorneys’ fees) or other expenses arising out of or relating to: (a) your violation of these Terms of Use; and/or (b) your use of the Platform, including but not limited to your User Contributions, any use of the Content or Services and your use of any information obtained from the Platform.

Governing Law; Choice of Venue; Limitation on Time to File Claims

All matters relating to the Platform and these Terms of Use, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the internal laws of the State of Wisconsin, without giving effect to any choice or conflict of laws provision or rule. 

Any legal suit, action or proceeding arising out of, or related to, the Platform or these Terms of Use shall be instituted exclusively in the federal courts of the United States or the courts of the State of Wisconsin, in each case located in the City of Madison, Dane County. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts (whether based on lack of personal jurisdiction, place of residence, improper venue or forum non conveniens or otherwise).

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE PLATFORM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Severability

If any term or condition contained in these Terms of Use is, becomes, or is deemed invalid, illegal or unenforceable for any reason, you acknowledge and agree that: (a) such invalidity, illegality or unenforceability shall not affect any other term or condition of these Terms of Use, (b) the remaining terms, covenants and conditions hereof shall remain in full force and effect, and (c) any court of competent jurisdiction may so modify the invalid, illegal or unenforceable provision as to make it valid and enforceable, but such modification shall not affect the validity, legality or enforceability of any of the terms or conditions of these Terms of Use in any other jurisdiction.

Waiver

No waiver by Glazd of any breach or default by you under these Terms of Use shall be deemed to be a waiver of any preceding or subsequent breach or default by you.  Glazd reserves all legal rights and remedies available to it.

Entire Agreement

The Terms of Use, Privacy Policy, End User License Agreement (if any), Terms of Sale (if any) and any Additional Terms represent the sole and entire agreement between you and Glazd regarding the Platform, and supersede any and all prior or contemporaneous agreements, understandings, representations and warranties, whether written or oral, regarding the Platform.
